1. Agreement Scope & Operating Structure
These Terms of Engagement govern the provision of corporate administrative, secretarial coordination, and statutory assistance services by CraftEgon LLP, operating under the brand name CraftEgon Corporate Services (CCS) ("CraftEgon", "we", "us"), to clients ("Client", "you").
By submitting an advisory enquiry, executing an engagement proposal, or instructing CraftEgon to initiate corporate filings, you acknowledge and agree to these Terms in full.
2. Regulatory & Professional Delivery Boundaries
CraftEgon is a corporate infrastructure and administration coordination firm. We are not a law firm, advocate partnership, or chartered accountancy firm under Indian law. We do not provide contentious legal representation, legal opinions in adversarial disputes, or direct statutory audit certifications. All filings requiring professional attestation (such as SPICe+ Part B, FiLLiP, AOC-4, MGT-7, Form 3CA/3CB, or Form TM-A) are performed independently by licensed, empaneled Practising Company Secretaries (ICSI), Chartered Accountants (ICAI), or Registered Trademark Agents (IP India).
3. Fee Structure & Government Disbursements
To eliminate ambiguity, all commercial fee quotations operate on a clear mathematical formula:
- Base Coordination Fee: Covers document assembly, portal drafting, name search, follow-up, and coordination with empaneled professionals.
- Statutory Government Disbursements: Mandatory portal fees levied by the Ministry of Corporate Affairs (MCA), Controller General of Patents, Designs & Trademarks (IP India), or state stamp duty authorities (e.g. stamp duty on Articles of Association or LLP Agreements). These are billed strictly at actuals with official government payment challans provided.
- Advance Disbursement Policy: Because government portals require real-time electronic payment at submission, statutory disbursements must be deposited with CraftEgon prior to form generation. Government fees paid to regulatory bodies are strictly non-refundable once transaction IDs are generated.
4. Turnaround Time Realism & Government Processing
While CraftEgon adheres to strict internal service turnaround schedules (typically assembling documents within 24 to 48 hours), official registration certificates (including Certificates of Incorporation, Udyam certificates, and Trademark Registration Certificates) are issued exclusively by statutory government officers at the Central Registration Centre (CRC), Registrar of Companies (RoC), or Trade Marks Registry.
CraftEgon does not guarantee unverified instantaneous government approvals. Any timeline stated on the website or in proposals represents typical working-day averages and is subject to official portal uptime, officer scrutiny, and potential resubmission notices (such as name reservation queries under MCA Rule 8).
5. Client Responsibilities & Accuracy of Disclosures
The Client warrants that all identity documents, address proofs, corporate records, and declarations provided to CraftEgon are genuine, accurate, and up-to-date. The Client agrees to:
- Provide timely OTP verifications for Web-KYC and portal authentications.
- Ensure registered office utility bills and NOCs comply with MCA territorial requirements.
- Disclose any existing director disqualifications under Section 164(2) of the Companies Act 2013 or pending strike-off proceedings.
6. Limitation of Liability
CraftEgon shall not be liable for:
- Government rejection of proposed company or LLP names that conflict with prior registered marks or violate the Companies (Incorporation) Rules 2014.
- Statutory late filing penalties arising from Client delays in providing signatures, DSCs, or OTP authentications.
- Unscheduled downtime or technical outages of government IT portals (such as MCA V3 portal errors or GSTN server maintenance).
In all events, CraftEgon’s aggregate commercial liability under any engagement shall not exceed the net professional coordination fee paid by the Client to CraftEgon for the specific service in dispute.
7. Dispute Resolution & Governing Jurisdiction
Any dispute arising out of or in connection with these Terms shall first be referred to mutual good-faith executive discussion. Failing resolution within 30 days, the matter shall be subject to the exclusive jurisdiction of the competent civil courts at Kozhikode, Kerala, India.
