1. Customer Need & Business Context
Under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, every individual who has been allotted a Director Identification Number (DIN) or Designated Partner Identification Number (DPIN) as on 31st March of a financial year must submit their KYC to the Ministry of Corporate Affairs annually on or before 30th September.
Failing to file DIR-3 KYC results in immediate statutory deactivation of the DIN (marked as "Deactivated due to non-filing of DIR-3 KYC"). A disqualified director cannot sign company annual returns, file corporate resolutions, or act as an authorized signatory on MCA V3. Reactivating a deactivated DIN requires payment of a mandatory ₹5,000 late fee per DIN to the MCA.
2. Understanding Web-KYC vs e-Form DIR-3 KYC
Option A: DIR-3 Web-KYC
Applicable for directors who have already filed e-Form DIR-3 KYC in a previous financial year and have zero changes to their personal mobile number, email address, or residential address.
- No Digital Signature Certificate (DSC) required
- Authenticated via dual OTPs (Mobile + Email)
- Fast turnaround (completed in 15–30 minutes)
- Zero government fee when filed before Sept 30
Option B: e-Form DIR-3 KYC
Mandatory for individuals filing KYC for the first time, or whenever a director needs to update their personal email, mobile number, or residential address proof.
- Requires Director's Class 3 DSC token
- Mandatory certification by Practising Company Secretary (ICSI)
- Self-attested PAN and residential proof uploaded
- Full MCA V3 scrutiny and challan generation
3. Mandatory Document Checklist
For Web-KYC Filing
- 8-digit Director Identification Number (DIN)
- Access to registered mobile number for MCA OTP
- Access to registered email inbox for MCA OTP
- Confirmation of no address or credential changes
For e-Form DIR-3 KYC (First-Time / Updates)
- Self-attested PAN card copy (mandatory)
- Address Proof: Bank statement or utility bill (< 2 months old)
- Valid Passport copy (mandatory for foreign nationals/NRIs)
- Director's active Class 3 Digital Signature Certificate
- Attestation by empaneled Practising Company Secretary
4. Step-by-Step Filing Workflow
DIN Status & Eligibility Audit
We query your 8-digit DIN on the MCA V3 portal to verify whether your record qualifies for fast Web-KYC or mandates an e-Form filing.
OTP Authentication / Document Verification
For Web-KYC, dual OTPs are generated and validated. For e-Form filings, identity documents are verified and formatted.
Professional CS Attestation (if e-Form)
Our empaneled Practising Company Secretary verifies the documents and signs the form with their digital certificate under ICSI regulations.
MCA SRN Generation & Acknowledgement
The Service Request Number (SRN) and approved MCA payment challan (₹0 on-time acknowledgement) are delivered to the director immediately.
5. Transparent Fee Architecture
*File before September 30 to avoid the mandatory ₹5,000 MCA statutory late fee.
DIR-3 Web-KYC is processed administratively via client-authorized OTP verification. Whenever an e-Form DIR-3 KYC is required, the statutory certification is performed exclusively by an empaneled Practising Company Secretary (ICSI) holding an active Certificate of Practice (CoP).
